Crew Route Pro Terms of Service
1. Agreement, Business Authority, and Defined Terms
These Terms of Service govern access to and use of Crew Route Pro. Crew Route Pro is a business software service provided by Divergent Logic LLC, which these Terms call “Divergent Logic,” “we,” “us,” or “our.”
“Customer” means the business or organization that creates, purchases, or uses a Crew Route Pro workspace. “Authorized User” means a person whom the Customer permits to use that workspace. “Service” means the Crew Route Pro website, web application, mobile applications, support services, and related features. “Customer Data” means information, files, records, and other content that the Customer or its Authorized Users submit to the Service.
The person creating an account or accepting these Terms represents that the person is at least 18 years old and has authority to bind the Customer. If that person lacks authority, the person must not create the account or accept these Terms for the Customer.
The Customer agrees to these Terms by checking the acceptance box during account creation, signing or accepting an order that incorporates them, purchasing a subscription, or using the Service after receiving notice that these Terms apply. During signup, the Customer agrees to the Terms of Service and acknowledges the Privacy Policy.
Nonwaivable applicable law always applies. An order form or other written agreement signed by Divergent Logic and the Customer controls if it conflicts with these Terms. The U.S. Data Processing Addendum is incorporated when it applies to Divergent Logic's processing of Customer Personal Information as a service provider or processor and controls over these Terms for a conflict about that processing. For a refund conflict, a signed order or other signed written agreement controls first, these Terms control second, and the Refund Policy controls third. The Privacy Policy explains how Divergent Logic handles personal information and forms part of the parties’ understanding about the Service.
2. The Service and Account Administration
Crew Route Pro provides scheduling, crew, route, job, customer, site, time, vehicle, maintenance, report, and field-service tools. Available features depend on the Customer’s subscription, licenses, settings, industry profile, device, and product configuration.
The Customer must provide accurate account and business information and keep it current. The Customer must designate at least one administrator and keep administrator contact information current.
Customer administrators control workspace settings, Authorized Users, roles, licenses, enabled features, billing access, and Customer Data. The Customer is responsible for administrator decisions and for removing access when a person should no longer use the workspace.
The Customer and each Authorized User must protect login credentials and devices. Credentials may not be shared between people. The Customer must notify us at `support@crewroutepro.com` if it suspects unauthorized access, credential loss, or a security incident involving the Service.
3. Authorized Users, Licenses, and Roles
Licenses control who may access Crew Route Pro. Roles control what an Authorized User may do after signing in. Each Customer workspace requires one Owner/Admin license. The Customer may purchase Additional Admin/Scheduler and Supervisor/Crew licenses as offered in checkout or an order.
The Customer may assign a license only to an eligible individual user. The Customer may not exceed purchased seat quantities, share one seat between active users, rent or resell access, or use one workspace to provide a competing hosted service.
Divergent Logic may enforce license limits and role restrictions on the server. Hiding a menu or feature does not grant permission to use an underlying route, API, file, or record.
Subject to these Terms and payment of applicable fees, Divergent Logic grants the Customer a limited, nonexclusive, nontransferable right during the subscription term to permit its Authorized Users to access and use the Service for the Customer’s internal business operations.
4. Acceptable Use and Prohibited Data
The Customer and its Authorized Users may not:
- break the law or violate another person’s rights through the Service;
- attempt to access another customer’s workspace, data, files, accounts, or systems;
- bypass access controls, license limits, rate limits, or security measures;
- test or scan the Service for vulnerabilities without our written permission;
- interfere with the Service, introduce malware, upload executable scripts, or use the Service to distribute harmful code;
- reverse engineer or copy the Service except where applicable law does not permit that restriction;
- impersonate another person, submit false account information, or share credentials;
- use the Service for emergency dispatch, life-safety control, or another use where delay or failure could cause death, bodily injury, or major property damage; or
- upload content that is unlawful, infringing, deceptive, threatening, or outside the Customer’s authority to use.
Crew Route Pro is not designed to store full payment card numbers, card security codes, bank-login credentials, Social Security numbers, government identity documents, unnecessary medical details, biometric identifiers used for identification, passwords for other services, private keys, or API secrets. The Customer must not place this prohibited data in notes, uploads, forms, imports, reports, or support requests.
PTO and sick-time workflows must not request a medical diagnosis. The Customer remains responsible for deciding what information its business needs and for avoiding unnecessary sensitive data.
5. Customer Data
As between the parties, the Customer keeps its rights in Customer Data. These Terms do not transfer ownership of Customer Data to Divergent Logic.
The Customer gives Divergent Logic and its service providers a limited right to host, copy, process, transmit, and display Customer Data only as needed to provide, maintain, secure, support, and administer the Service, follow the Customer’s instructions, or meet legal obligations. This right lasts while the relevant processing is needed and ends subject to lawful retention, backup, security, and dispute-preservation requirements.
Divergent Logic will not use Customer Data to train generalized machine-learning or artificial-intelligence models. We may use aggregated or de-identified information to analyze and improve Crew Route Pro if that information does not identify a Customer, Authorized User, employee, or end customer. We need the Customer’s instruction or permission for another use of identifiable Customer Data unless law requires the use.
The Customer represents that it has the rights and permissions needed to submit Customer Data and allow the processing described in these Terms. The Customer is responsible for the accuracy, quality, legality, and source of Customer Data.
The Customer should keep copies of information that it must retain outside Crew Route Pro. The Service is an operational tool and does not replace the Customer’s legal recordkeeping, business-continuity, or backup duties.
6. Privacy, Permissions, and Customer-Directed Disclosures
The Privacy Policy explains how Divergent Logic handles personal information in connection with the Service. The Customer acknowledges the Privacy Policy during account creation.
The U.S. Data Processing Addendum describes the parties' roles and obligations when Divergent Logic processes Customer Personal Information as a service provider or processor under applicable U.S. state privacy law. The Customer remains responsible for lawful collection, notices, permissions, instructions, and use of Customer Data.
The Customer decides which employees, contractors, customers, and other people appear in its workspace. The Customer must provide notices and obtain permissions or consents required for employee records, schedules, time records, PTO or sick information, customer contacts, service addresses, access instructions, photos, signatures, location-adjacent assignments, push notifications, and other Customer Data.
The Customer controls addresses and recipients when it emails reports, notifications, or other content through the Service. A Customer-directed email, report, export, or shared record may disclose Customer Data outside the workspace. The Customer must confirm that the recipient is correct and authorized.
The Customer must configure roles and feature access with care. Administrators and office roles may see more Customer Data than field roles. The Customer must remove former workers and other users who should no longer have access.
7. Support Access
Authorized Divergent Logic personnel may access a Customer workspace when needed to respond to a support request, investigate a security or service issue, maintain the Service, or protect the Customer, another customer, or the Service.
Crew Route Pro includes a restricted Support View for authorized platform personnel. Support View requires an eligible platform role and a stated reason, records start and end events, displays a persistent session banner, and provides an End Support View action. Support View is not a guaranteed hard read-only mode.
Divergent Logic will limit support access to personnel with a business need and will use available audit controls. The Customer may ask questions about support access by contacting `support@crewroutepro.com`.
8. Divergent Logic Property, Service License, and Feedback
Divergent Logic and its licensors own Crew Route Pro, including its software, design, documentation, branding, templates, and service-generated components, excluding Customer Data and third-party materials.
The Customer may not copy, distribute, sell, sublicense, or create a competing service from Crew Route Pro except as these Terms or applicable law permit. The Customer may use exports and reports containing its Customer Data for its business purposes.
If the Customer gives suggestions or feedback, Divergent Logic may use them without payment or restriction. Feedback does not give Divergent Logic ownership of Customer Data or the Customer’s trademarks.
“Crew Route Pro,” its logos, and related branding may not be used to imply sponsorship or endorsement without written permission.
9. Copyright Complaints
The Customer must not upload material that infringes copyrights or other intellectual-property rights.
A rights holder may send a copyright complaint to `support@crewroutepro.com`. The complaint should identify the copyrighted work, identify the material at issue and where it appears, provide the sender’s contact information, state the sender’s good-faith belief that the use is unauthorized, state under penalty of perjury that the information is accurate and that the sender may act for the rights holder, and include a physical or electronic signature.
Divergent Logic may remove or restrict access to disputed material, notify the affected Customer, request more information, or terminate repeat infringers where appropriate. Questions about the review or counter-notice process may be sent to `support@crewroutepro.com`.
10. Third-Party Services
The Service relies on third-party providers for functions such as payment processing, hosting, database services, storage, email, mapping, weather information, mobile distribution, and push notifications. Third-party features may have separate terms and privacy practices.
Stripe processes subscription payments through Stripe-hosted tools. Divergent Logic does not receive or store full payment card numbers through those tools. Crew Route Pro may retain Stripe customer, subscription, invoice, price, status, and billing-event identifiers needed to administer the subscription.
Third-party services may change, become unavailable, or return inaccurate information. Weather information is advisory. Maps and route displays do not replace safe driving, dispatch judgment, or local knowledge.
11. Trials, Fees, Taxes, Seat Changes, and Recurring Billing
Crew Route Pro currently offers a 14-day trial to eligible new Customers. A trial does not require a payment card when the signup or checkout page says no card is required. The Customer will not incur a subscription charge unless it adds a payment method and completes the checkout consent for the recurring charge.
Paid subscriptions may renew monthly or annually until canceled. Before purchase, checkout or the order will show the price, billing interval, seat quantities, trial terms, taxes or tax treatment, and cancellation method. The checkout or order controls current prices and quantities.
The Customer authorizes Stripe and Divergent Logic to charge the selected payment method for recurring subscription fees, purchased seats, applicable taxes, and authorized adjustments according to checkout or the order. The Customer must keep billing and payment information current.
Seat additions may take effect during the current billing term and may create prorated charges. Eligible seat reductions may take effect at the next renewal. The billing interface or order will describe the timing before the Customer confirms a change.
Divergent Logic will provide renewal or price-change notices where applicable law requires them. A failure to receive a courtesy notice does not cancel a subscription unless applicable law says otherwise.
12. Cancellation, Payment Failure, Refunds, and Data Access
The Customer may cancel through available Stripe-hosted billing tools or by contacting `support@crewroutepro.com`. Cancellation takes effect at the end of the current paid billing period unless checkout, an order, or applicable law says otherwise. The Customer may continue using paid access through that date if the account remains in good standing.
Charges already paid are nonrefundable except for a confirmed Billing Error, a refund required by applicable law, or a case-specific written exception approved by Divergent Logic. The Refund Policy defines the request and review process. Canceling does not erase charges that accrued before cancellation became effective and does not create a prorated refund unless a signed order or applicable law requires one.
If payment fails, a subscription expires, or billing information needs attention, Divergent Logic may place the workspace in a grace or billing-recovery state. Administrators may retain access to billing-recovery tools while other Authorized Users lose access. The Service may show the applicable grace deadline and restoration steps.
A payment issue by itself will not cause deletion of Customer Data. This statement does not promise permanent retention after cancellation or termination. Before access ends, the Customer should use available export tools for records it needs and contact support with export, access, or deletion questions.
Retention and deletion depend on the data type, account status, security and backup needs, legal duties, disputes, and the Privacy Policy. Divergent Logic may delete Customer Data after the applicable retention process and any required notice.
13. Suspension and Termination
Divergent Logic may suspend access to protect the Service, investigate suspected unlawful or unauthorized use, address nonpayment, respond to a security threat, comply with law, or prevent harm to a Customer or another person.
Either party may terminate these Terms if the other party materially breaches them and does not cure the breach within 30 days after written notice. Divergent Logic may act sooner if a breach cannot be cured, creates an urgent security or legal risk, involves fraud or unlawful conduct, or threatens the Service or another customer.
When these Terms or the subscription end, the Customer’s right to use the Service ends except for access that Divergent Logic provides for billing, export, support, or legal reasons. Payment obligations and provisions concerning ownership, Customer Data, confidentiality, disclaimers, liability, indemnity, disputes, and general contract terms survive as needed to give them effect.
14. Service Changes, Maintenance, and Availability
Divergent Logic may update, add, change, or discontinue features to operate, secure, and improve Crew Route Pro. We will give notice where practical before a material change that reduces paid functionality.
The Service may be unavailable during maintenance, provider outages, network failures, security events, or circumstances outside our control. Unless a signed order includes a service-level agreement, support targets, response estimates, and maintenance expectations are not guaranteed service levels.
Divergent Logic may release beta, pilot, preview, or early-access features. We may change or withdraw those features, and the Customer should not rely on them for regulated or mission-critical duties.
15. Operational and Regulated-Industry Disclaimers
Crew Route Pro supports business operations and recordkeeping. It does not provide legal, tax, accounting, employment, medical, safety, insurance, regulatory, or industry-specific advice.
The Customer is responsible for workplace rules, employee notices, wage-and-hour practices, timekeeping review, PTO administration, customer permissions, driving and route decisions, record accuracy, industry requirements, and legal compliance.
Crew Route Pro does not claim certification or verified compliance with HIPAA, SOC 2, PCI standards, GDPR, or a regulated-industry framework. Stripe’s payment services do not make the Customer or Crew Route Pro compliant with every rule that may apply to the Customer’s business.
Crew Route Pro does not guarantee automated route optimization, emergency dispatch, uninterrupted communications, legal record retention, or suitability for life-safety operations.
16. Warranty Disclaimer, Liability Limits, and Indemnity
To the fullest extent permitted by law, Divergent Logic provides the Service “as is” and “as available.” Divergent Logic disclaims implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, secure against every threat, or suitable for the Customer’s legal or industry requirements.
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business opportunities, goodwill, or data, arising from these Terms or the Service, even if the party knew such damage was possible.
To the fullest extent permitted by law, Divergent Logic’s total liability arising from these Terms or the Service will not exceed the fees the Customer paid for the Service during the 12 months before the event giving rise to the claim. If the Customer paid no fees and used only a free trial, the limit is $100.
These exclusions and limits do not apply where applicable law does not permit them.
The Customer will defend and indemnify Divergent Logic, its affiliates, and their personnel against third-party claims, losses, and reasonable costs arising from Customer Data, the Customer’s unlawful use of the Service, missing permissions or notices, or the Customer’s material breach of these Terms. Divergent Logic will notify the Customer of a covered claim and allow the Customer to control the defense, subject to Divergent Logic’s right to participate with counsel of its choice. The Customer may not settle a claim in a way that admits fault by, imposes payment on, or restricts Divergent Logic without our written consent.
17. Disputes, Pennsylvania Law, Changes, Notices, Language, and General Terms
Before filing a lawsuit, a party must send written notice describing the dispute and requested resolution. The parties will try in good faith to resolve the dispute for 30 days after receipt. A party may seek emergency injunctive relief without completing this process when delay could cause immediate and irreparable harm.
Pennsylvania law governs these Terms without regard to conflict-of-law principles. An unresolved dispute may be brought in a Pennsylvania state or federal court that has proper subject-matter and personal jurisdiction. These Terms do not require arbitration and do not contain a class-action waiver.
Notices to Divergent Logic must be sent to `support@crewroutepro.com` until a published legal-notice address replaces or supplements that email. We may send notices to the administrator email on the Customer account, through the Service, or by another reasonable electronic method. The Customer must keep its notice address current.
Price, renewal, and recurring-billing changes take effect at renewal after any notice required by law. We will give at least 30 days’ notice before another material change to these Terms and allow the Customer to cancel before it takes effect. A change required by law or needed to address an urgent security or legal risk may take effect sooner on notice. The notice will identify the new version and effective date.
Spanish and other translations are provided for convenience and accessibility. We intend the English and Spanish versions to carry the same meaning. The English version controls if they conflict, to the extent applicable law permits.
The Customer may not assign these Terms without our written consent. Divergent Logic may assign them in connection with a merger, acquisition, corporate reorganization, or sale of the relevant business or assets, or to an affiliate that assumes our obligations.
Neither party is liable for delay caused by events beyond its reasonable control, except that this sentence does not excuse payment obligations. If a court finds part of these Terms unenforceable, the remaining terms continue in effect. A failure to enforce a term is not a waiver. Headings aid reading and do not change meaning.
The parties are independent contractors. These Terms do not create a partnership, franchise, employment, agency, or fiduciary relationship. No person other than the parties has rights under these Terms unless an express provision says otherwise.
These Terms, the Privacy Policy, the Refund Policy, each applicable U.S. Data Processing Addendum, and each applicable order form the complete agreement about the Service and replace prior discussions about the same subject. The priority rules in Section 1 resolve conflicts among those documents.
